Bylaws of The Georgia Consortium for International Studies

ARTICLE I - NAME
The name of this organization, whose corporate charter was granted by the State of Georgia on the Sixth day of November, Nineteen Hundred and Eighty, A.D., shall be the Georgia Consortium for International Studies, Incorporated, also referred to as the GCIS.

ARTICLE II - Objectives
The objectives of the Georgia Consortium for International Studies shall include the following:
  1. To promote intercultural understanding and foster faculty development.
  2. To assist in the development of programs in international education among member institutions, promote excellence in education and cooperate with other organizations in presenting community programs which place special emphasis upon international and related education.
  3. To assist in securing financial support for international education activities.
  4. To receive, hold, and administer gifts and grants for the development of international and related education activities.
  5. To enter, as a consortium of member institutions, into contracts for both domestic and overseas operations in international and related education.
  6. To give recognition to individuals who are actively engaged in fostering international education and cultural understanding.
ARTICLE III - MEMBERSHIP
The membership of the Georgia Consortium for International Studies shall consist of such institutions of higher education as may be elected to membership in the Georgia Consortium for International Studies by the corporation's Board of Directors.

ARTICLE IV - OFFICERS
The officers of the Georgia Consortium for International Studies shall be the Chair, the Chair-elect, the Secretary and the Treasurer. The duties of each office shall be as defined by the Board of Directors. Terms of office shall be for two years and shall commence from the close of the last official meeting or activity during the spring semester of each even-numbered year. Officers shall be elected by a majority of the members of Board of Directors in attendance at the appropriate business meeting. Nominations shall be made from the floor. Only members of the Board of Directors are eligible to be elected as officers. If any vacancy occurs, the position shall be filled at the next regular meeting. The Chair-elect shall be elected in alternate years.

ARTICLE V - BOARD OF DIRECTORS
The Georgia Consortium for International Studies Board of Directors shall consist of one person designated by the chief executive officer by each member institution from among its faculty or administrative staff.

ARTICLE VI - DUES
Dues for each member institution shall be set annually by Board of Directors. A bill for dues shall be sent annually to the chief executive officer of each member institution by the Treasurer.

ARTICLE VII - CHANGES IN THE BYLAWS
These Bylaws may be revised or amended by a majority vote of the Board of Directors attending a business meeting.
